COMINS COCH COMMUNITY ASSOCIATION

CONSTITUTION (As adopted by the Association
on 25th April 1979)
1. NAME: The name of the organisation shall
be the Comins Coch Community Association, hereinafter referred to as "the
Association".
2. AIMS AND OBJECTS: The aims and objects of the Association shall be
to promote the benefit of the inhabitants of Comins Coch and neighbourhood
(hereinafter called "the area of benefit") without distinction
of sex or of political, religious or other opinions by associating the
local authorities, voluntary organisations and inhabitants in a common
effort to advance education and to provide facilities in the interests
of social welfare for recreation and leisure-time occupation with the
object of improving the conditions of life for the said inhabitants. The
Association shall be non-party in politics and non-sectarian in religion.
3. MEMBERSHIP shall be open to all the inhabitants of the area of benefit
irrespective of political party, nationality, religious opinion, race
or colour.
4. OFFICERS: The officers of the Association shall consist of Chairman,
Vice-Chairman, Treasurer and Secretary. The Committee shall have the power
to fill any casual vacancies which may occur amongst the officers in any
year. The Committee, including co-opted members, shall retire each year
at the Annual General Meeting. All officers shall be eligible for re-election.
5. HONORARY PRESIDENT AND VICE-PRESIDENT: The Honorary President and Vice-President
shall be elected at the Annual General Meeting and shall be eligible for
re-election.
6. MANAGEMENT: The affairs of the Association shall be vested in an executive
Committee consisting of the President, Vice-President, the Officers, the
District Councillors serving the area of benefit, two members representing
the Community Councils serving the area of benefit, the Headmaster of
the Comins Coch school or a teacher from that school, and two members
from any body or organisation affiliated to the Association. The Committee
shall have the power to co-opt additional members provided that the number
of co-opted members does not exceed one third of the total number of elected
and ex-officio members. The Committee shall have the power to form sub-committees
consisting of officer, and co-opted members, and these sub-committees
shall have the power to co-opt additional members. The actions and proceedings
of all sub committees shall be fully and promptly reported to the Committee.
7. MINUTES Minute books shall be kept by the Association and the Secretary
shall enter therein a record of all proceedings and resolutions.
8. GENERAL MEETINGS: The Committee may at any time. and shall if requested
so to do in accordance with paragraph 10, call a General Meeting. Notices
of such meetings shall be placed in some conspicuous place or place, in
Comins Coch and neighbourhood at least seven days before the date of the
meeting. Subject to the provisions of paragraphs 12 and 13 all questions
arising at General Meetings shall be decided by a simple majority of those
present aged 18 and over and entitled to vote.
9. ANNUAL GENERAL MEETING: An Annual General
Meeting shall be held each year in April. The purpose of the meeting shall
be to receive the Report and Accounts for the preceding year, and for
the election of a President, Vice President and Officers of the Committee.
10. EXTRAORDINARY GENERAL MEETING: The Committee shall call an Extraordinary
General Meeting within 14 days of a requisition signed by seven inhabitants
of the area of benefit. Such a requisition must state in detail the business
it is proposed to transact, and no other business will be in order.
11. FINANCE: The Treasurer shall keep account of all income and expenditure,
and shall prepare accounts for submission to the inhabitants annually.
All accounts submitted to the inhabitants shall be audited by the Auditor
to be appointed by the Committee. All moneys raised by or on behalf of
the Association shall be applied to further the objects of the Association
and for no other purpose. The Association shall open an account at a bank
specified by the Committee. and all cheques shall be, signed by at least
two members of the Committee.
12. AMENDMENTS TO THE CONSTITUTION: No alteration may be made to the Constitution
except at a General Meeting. Notice. of the proposed alteration shall
be submitted to the Secretary not less than 14 days before the date of
the General Meeting. Such alteration shall not become operative unless
passed by a two-thirds majority of those present aged 18 and over and
entitled to vote. No alteration to paragraph 2 shall be made without the
consent of the Charity Commissioners.
13. DISSOLUTION: If, at a General Meeting convened in accordance with
paragraph 8, a resolution to dissolve the Association is passed by a two-thirds
majority of ' those present aged 18 and over and entitled to vote, the
Association shall have the power to dispose of any assets held by or in
the name of the Association. Any assets remaining after the satisfaction
of any proper debts and liabilities shall be applied towards charitable
purposes for the benefit of the inhabitants of Comins Coch and neighbourhood
as the meeting may decide and as may be approved by the Charity Commission.
In accordance with Clause 12 the Constitution was amended by the addition
of all extra clause in the following terms at the Extraordinary General
Meeting of the Association held for the purpose on 10th June 1993:-
14. TRUST PROPERTY: The title to all real or personal property which may
be acquired by or on behalf of the Association shall he vested in not
less than 3 nor more than 6 individuals, who shall enter into a Deed of
Trust setting forth the purposes and conditions under which they hold
such property in trust for the Association.
